1. Acceptance of Terms

By accessing or using Team Riley's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

Team Riley provides web design, development, and maintenance services for health and wellness businesses. Our services include:

• Custom website design and development
• Website hosting and maintenance
• Unlimited updates and modifications
• SEO optimization and performance improvements
• Technical support and consulting

3. Subscription Plans

Our services are offered on a subscription basis with three tiers:

• Silver Plan: $199/month + $500 setup fee (1-5 pages)
• Gold Plan: $399/month + $500 setup fee (5-15 pages)
• Platinum Plan: $599/month + $500 setup fee (15+ pages)

All plans include unlimited updates. Subscriptions are billed monthly and can be cancelled at any time.

4. Payment Terms

• Setup fee and first month's subscription are due at project initiation
• Monthly subscriptions are billed on the 1st of each month
• Payments are non-refundable
• Late payments may result in service suspension
• You are responsible for all applicable taxes

5. Cancellation Policy

You may cancel your subscription at any time with no penalties. Upon cancellation, your website will remain live until the end of your current billing period. You will receive all website files and retain full ownership of your content.

6. Intellectual Property

Your Content: You retain all rights to content you provide (text, images, logos, etc.). By using our services, you grant us a license to use your content to create and maintain your website.

Our Work: Upon full payment, you own the final website design and code. We retain the right to use the work in our portfolio unless otherwise agreed in writing.

7. Client Responsibilities

You agree to:

• Provide necessary content, materials, and feedback in a timely manner
• Ensure all content provided is legally owned or licensed
• Maintain your domain registration
• Use the website in compliance with applicable laws
• Not use the service for illegal or harmful purposes

8. Service Availability

We strive for 99.9% uptime but cannot guarantee uninterrupted service. We are not liable for downtime caused by hosting providers, internet outages, or other factors beyond our control. Scheduled maintenance will be communicated in advance when possible.

9. Limitation of Liability

Team Riley's liability is limited to the amount paid for services in the 12 months preceding any claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.

10. Warranty Disclaimer

Services are provided "as is" without warranties of any kind. We do not guarantee specific results, search engine rankings, or traffic levels.

11. Indemnification

You agree to indemnify and hold Team Riley harmless from any claims arising from your use of our services, your content, or your violation of these terms.

12. Modifications to Terms

We reserve the right to modify these terms at any time. Significant changes will be communicated via email. Continued use of our services after changes constitutes acceptance of the new terms.

13. Governing Law

These terms are governed by the laws of Louisiana, United States. Any disputes will be resolved in the courts of Louisiana.
